1. Definitions

In these Terms & Conditions, the following terms carry the meanings set out here. "Kapiture", "we", "us", or "our" refers to Kapiture Co., Ltd., registered in Thailand at 220 Ratchadaphisek Road, Huai Khwang, Bangkok 10310. "Service" refers to the financial education programs offered by Kapiture, including mentorship, group courses, and associated materials. "Participant" or "you" refers to any individual enrolling in a program or using our website. "Content" refers to all educational materials produced and provided by Kapiture. "Agreement" refers to these Terms together with any written enrollment confirmation.

2. Acceptance of Terms

By submitting an enquiry, enrolling in a program, or using the Kapiture website, you confirm you have read, understood, and agreed to these Terms & Conditions. Enrollment is available to individuals aged 18 and over with legal capacity under Thai law.

These terms are governed by the laws of the Kingdom of Thailand. You consent to the exclusive jurisdiction of the courts of Bangkok, Thailand for any disputes arising under these terms.

3. Service Description

Kapiture provides financial education programs in Bangkok and online. Current programs include Financial Planning Mentorship (฿28,000), Market Analysis Fundamentals (฿15,000), and Corporate Finance for Non-Finance Professionals (฿11,500).

Kapiture's services are educational in nature only. We do not provide financial advice, investment recommendations, or any services regulated by the Securities and Exchange Commission of Thailand or the Bank of Thailand. Nothing in our programs constitutes advice for any individual's financial situation.

Program availability is subject to minimum enrollment requirements. Kapiture may reschedule or cancel a program if minimum numbers are not reached, with a full refund to enrolled participants.

4. Enrollment

Enrollment is confirmed upon receipt of full payment and a written confirmation from Kapiture. You are responsible for providing accurate contact and billing details. Enrollment is personal and non-transferable without prior written agreement from Kapiture. You are responsible for the security of any login credentials provided for online delivery platforms.

5. Participant Responsibilities

By enrolling, you agree to engage respectfully with educators and other participants, not to record or redistribute session content without written permission, not to share program materials with individuals who have not enrolled, not to use Kapiture's name or content to imply endorsement of any financial product or strategy, and to provide accurate information in program forms and self-assessments.

6. Intellectual Property

All program materials — curricula, reference guides, presentations, and written content — are the intellectual property of Kapiture Co., Ltd., protected under Thai copyright law. Upon enrollment, Kapiture grants a limited, non-exclusive, non-transferable license for your personal educational use only. You may not reproduce, distribute, or commercially use any materials.

Feedback you provide about our programs may be used by Kapiture to improve its services without compensation.

7. Payment and Refund Policy

Program fees are quoted in Thai Baht (฿) inclusive of applicable VAT. Payment must be received in full before the first session. Invoices are available for corporate enrollment. Accepted payment methods are confirmed at enrollment.

Refunds: Cancellations made more than 14 days before program start receive a full refund. Cancellations between 7 and 14 days before start receive a 50% refund. No refund is available for cancellations within 7 days of start. For mentorship programs, completed sessions are non-refundable; future sessions may be refunded pro-rata with at least 7 days notice. If Kapiture cancels a program, a full refund will be provided.

8. Disclaimers

Kapiture programs are educational only. We do not warrant that completing a program will produce any specific financial, professional, or other outcome. Financial information discussed in sessions reflects the best available knowledge at the time of delivery and may not reflect current conditions when you apply it.

Nothing in Kapiture's programs constitutes investment advice, tax advice, legal advice, or any professional financial recommendation. You should seek licensed professional advice before making significant financial decisions.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Kapiture's total liability in connection with any program shall not exceed the fee paid by you for that program. Kapiture is not liable for indirect, incidental, or consequential losses arising from use of our services or reliance on program content, including any financial losses following educational sessions.

10. Service-Specific Terms

Mentorship Program: Sessions are scheduled bi-weekly. Individual sessions may be rescheduled with at least 48 hours notice. Session notes are provided after each meeting. The program does not guarantee a fixed curriculum — topics are adjusted based on participant needs.

Group Courses: Session dates are fixed at enrollment. Participants who cannot attend a session may request session notes. Transfer to a future cohort (in lieu of a refund) is available with at least 7 days notice before the program start date.

Certificates: Certificates of completion are issued to participants who attend all sessions of a program. For unavoidable absences, participants should contact Kapiture — arrangements are made on a case-by-case basis.

11. Termination

Kapiture may remove a participant from a program without refund if their conduct is disruptive, disrespectful to others, or in material breach of these Terms. You may withdraw from a program at any time subject to the refund terms in Section 7.

12. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties will first attempt resolution through direct communication. Unresolved disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand. Consumer protection rights available under Thai law are not affected by these Terms.

13. General Provisions

These Terms constitute the full agreement between you and Kapiture regarding our services. If any provision is found unenforceable, the remaining provisions continue in full effect. Kapiture's failure to enforce any right does not waive that right. Notices may be sent by email to the address provided at enrollment.

14. Changes to These Terms

Kapiture may update these Terms from time to time. Material changes will be communicated to enrolled participants by email and reflected in the updated date above. Continued use of our services after notification constitutes acceptance of revised terms.
